Who we are
Winstia is a brand of Buddha Overseas (sole proprietorship), Block No. 100, Ekta Nagar, Street No. 4, Bhalka Colony, Veraval, Gir Somnath, Gujarat 362265, India. References to 'we', 'us', or 'our' in these Terms mean Buddha Overseas. Full provider identification is available on our Imprint page.
Acceptance of terms
By creating an account or using Winstia in any way, you agree to be bound by these Terms. If you are using Winstia on behalf of a business, you represent that you have the authority to bind that business to these Terms.
If you do not agree with any part of these Terms, you must not use the service. We may update these Terms from time to time (see 'Changes to these Terms' below).
Your account
You are responsible for keeping your account credentials secure. Do not share your password. You are responsible for all activity that occurs under your account, including actions taken by staff members or sub-users you invite.
You must provide accurate information when creating your account and keep it up to date. Accounts created with false information may be suspended without notice.
You must be at least 18 years old to create an account. By using Winstia you confirm that you meet this requirement.
Acceptable use
You agree to use Winstia only for lawful business purposes. You must not:
Attempt to gain unauthorized access to any part of the service, other users' accounts, or our infrastructure. Use the service to store, transmit, or process illegal content. Reverse-engineer, decompile, or attempt to extract the source code of the application. Resell or sublicense access to the service without our written permission. Use automated tools to scrape or extract data at scale. Interfere with the performance or availability of the service for other users.
We may suspend or terminate accounts that violate these rules, at our sole discretion and without prior notice where the breach is serious.
Your data
Your business data — invoices, transactions, customer records, and any other data you enter into Winstia — belongs to you. We do not claim any ownership over it.
We act as a data processor on your behalf. We access your data only to provide the service, fix issues you report, and comply with legal obligations. We do not use your business data to train AI models or sell it to third parties.
You can export your data at any time from within the application. On account closure, we will provide a data export on request for 30 days after closure. Data is then permanently deleted within the timelines described in our Privacy Policy (personal data within 30 days, business data within 90 days).
Subscriptions and billing
Winstia is offered on a subscription basis. Plan details, pricing, and feature limits are described on our Pricing page and within the application.
Subscriptions renew automatically at the end of each billing period (monthly or annually, depending on your plan). You authorize Paddle, as merchant of record for our subscriptions, to charge your payment method on file for each renewal. You will receive a renewal reminder before each annual charge.
If a payment fails, we will retry and notify you. After repeated failures, your account may be downgraded to the Free plan until payment is resolved.
All fees are shown in USD and are exclusive of applicable taxes, which may be added depending on your location.
Chargebacks and payment disputes
If a Winstia charge looks wrong, email support@winstia.com before you contact your bank. Paddle is the merchant of record for every Winstia subscription, so the payment is taken by Paddle and the entry on your card or bank statement comes from Paddle rather than from us — that catches people out, and one email with the date and the amount is usually enough for us to tell you which account and plan a charge belongs to. If you are within 14 days of your first charge, our Refund Policy already gives you a full refund, so there is nothing to dispute.
You can always raise a dispute with your bank, and nothing here asks you to give that up. Because Paddle is the merchant of record, the dispute runs between Paddle and your bank: Paddle receives the notice from the card network, Paddle decides what evidence to submit, and your bank and the card network decide the outcome on a timetable none of us sets. We do not hold your card details, we cannot withdraw a dispute on your behalf, and we cannot tell you in advance how long it will take or how it will be decided.
What we can do is the account side. If Paddle asks us for evidence, we give it the records we hold about your account — when you signed up, which plan you were on, your invoices and receipts, and the dates the account was used — and nothing beyond what the dispute requires. Please also tell us the dispute exists at the same time you raise it, so that the first we hear of it is not a reversal.
A reversed charge leaves that billing period unpaid, and we may treat it as we would any other unpaid renewal, which can mean the paid plan is suspended or the account moves to the Free plan until the payment is settled. Nothing is deleted. Your invoices, customers, inventory, and accounting history stay exactly where they are, you keep your login, and you can export everything from inside the application at any time — the deletion timelines in our Privacy Policy start only when an account is closed. To restore a suspended plan you can settle the amount with a new payment from the Billing section in the app, or wait for Paddle to confirm the dispute is closed. We do not charge you a fee for raising a dispute. And because a chargeback is not a cancellation, cancel the subscription from the Billing section if you want it to stop.
A dispute on its own is not fraud, and raising one in good faith will not cost you your account. The fraudulent-activity ground in ‘Cancellation and termination’ applies only where a dispute arrives with other signs of fraud, such as repeated disputes of charges for a service in continuous active use, or a dispute supported by details we can show to be false. Nothing in this section limits your rights under our Refund Policy, under your card scheme’s rules, or under consumer protection law where you live, and nothing here changes ‘Governing law and disputes’, which preserves EU and UK users’ recourse to the courts of their own country. Our liability for anything described here is subject to ‘Disclaimers and limitation of liability’.
Free trial
New accounts may be eligible for a free trial period. No payment is required during the trial. At the end of the trial, you can choose a paid plan or continue on the Free plan.
We reserve the right to limit or modify free trial availability. One free trial per person and per business.
Cancellation and termination
You can cancel your subscription at any time from the Billing section in the app. Your subscription will remain active until the end of the current billing period — we do not offer partial-period refunds unless required by the Refund Policy.
Either party may terminate the agreement immediately if the other materially breaches these Terms and fails to remedy the breach within 14 days of written notice.
We may suspend or terminate your account immediately if we have reason to believe you are violating the Acceptable Use policy, misusing the service, or if your account is involved in fraudulent activity.
On termination, your right to access the service ends. Sections of these Terms that by their nature should survive termination (including data, IP, tax calculations and professional advice, limitation of liability, and governing law) will continue to apply.
Intellectual property
Winstia — including its software, design, content, trademarks, and brand — is owned by us and protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership to you.
You are granted a limited, non-exclusive, non-transferable license to use the service during your subscription period, solely for your internal business operations.
If you provide feedback, ideas, or suggestions about the service, you grant us a perpetual, royalty-free right to use them without restriction or compensation.
Service availability and changes
We aim to provide a reliable, high-quality service and target 99.9% monthly uptime for paid plans (see our SLA for details). Occasionally we need to perform maintenance — we will try to schedule this during low-traffic hours and give advance notice.
We may add, change, or remove features over time. We will give reasonable notice of changes that materially reduce functionality on paid plans.
Tax calculations and professional advice
Winstia calculates tax from the data you and your staff enter and the tax settings configured in your account — your registrations, rates, item and customer tax codes, places of supply, filing periods and accounting method. Those settings are yours to maintain, so when a rate changes, when you register somewhere new, or when something you sell should be taxed differently, the figures will only be right once that change is reflected in your account. This section is about tax your own business owes on what it sells, pays or withholds. Tax on your Winstia subscription is a separate matter: Paddle is the merchant of record for our subscription payments and charges any tax that applies to your subscription.
Winstia is software, not a tax adviser. Nothing in the application, our documentation, our website or our support replies is tax, accounting or legal advice, and using Winstia does not create an advisory or professional relationship between you and us. You are the taxpayer, and the return remains your responsibility whether you file it yourself or your accountant files it for you. The return views in the app are working papers for you and your accountant to review before anything is submitted, and we recommend you have someone qualified in your own country check your tax setup when you start using Winstia, and again whenever your business or the rules change.
Marking a return as filed in Winstia is a record-keeping action by you, or by an accountant you have given access to, and Winstia records which of you did it. It records in your own books that you have dealt with that period, stamps who marked it and when, and, where that return runs through our filing ledger, closes the period so the app will not accept further manual journal entries dated inside it — only you as the account owner can re-open a closed period. By itself it files nothing — you or your accountant must still submit and pay through the tax authority’s own portal or filing system, by their deadline, and a period marked as filed in Winstia with nothing submitted to the authority is still an unfiled return. Where you connect your own government portal credentials to Winstia, for e-invoicing, data is sent to that authority on your instruction, using your registration and your credentials, and you remain responsible for what is submitted and for checking that it was accepted.
If you work with an accountant, you can give them their own login to your books instead of sending them exports. You invite or link a Chartered Accountant from Settings, you choose which areas they can see, and you can revoke that access at any time; revoking it affects only your business, not any other client of theirs. An accountant you have given access to can review your returns and records and, in some countries, can be the one who marks a return as filed — Winstia records who did it, and only you can re-open a period afterwards. They can see your tax rules read-only, so they can review how your tax is set up, but only you can change them. Category and product tax codes are not in their view yet. Giving an accountant access does not move the taxpayer’s obligations onto us, and you remain responsible for the access you grant and for what is filed in your name.
We do not accept responsibility for tax positions you chose, for rates or classifications you entered incorrectly or left out of date, for figures you overrode, or for returns filed late or without review. Penalties, interest and assessments that follow from those remain yours. We are not, though, asking you to accept that we can never be responsible for our own errors. If a figure is wrong because of a defect in Winstia rather than the settings or data in your account, email support@winstia.com with the period and the figures involved and enough detail for us to reproduce it, and we will investigate and correct the software. A claim arising from such a defect is dealt with under the ‘Disclaimers and limitation of liability’ section on the same terms as any other claim, including the carve-out for liability that cannot be excluded by law. This section does not create a separate or lower limit for tax.
Nothing in this section limits rights you have under laws that cannot be contracted out of. Where mandatory consumer or digital-services law in your country gives you remedies for a service that was not supplied with reasonable care and skill, those remedies still apply, and as set out in ‘Governing law and disputes’ users in the EU/UK may also have recourse to courts in their country of residence. If anything here conflicts with such a law, that law applies and the rest of this section stays in force.
Disclaimers and limitation of liability
The service is provided 'as is' and 'as available'. To the fullest extent permitted by law, we disclaim all warranties — express or implied — including fitness for a particular purpose and non-infringement.
We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising from your use of Winstia is limited to the fees you paid in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.
Governing law and disputes
These Terms are governed by the laws of India. Any disputes that cannot be resolved informally will be submitted to the courts of Gujarat, India, and both parties consent to exclusive jurisdiction there. Users in the EU/UK may also have recourse to courts in their country of residence under applicable consumer protection laws.
Before raising a formal dispute, we encourage you to contact us at support@winstia.com. Most issues can be resolved quickly through direct communication.
Changes to these terms
We may update these Terms from time to time. When we make material changes, we will notify you at least 14 days in advance by email (if you have an account) and by posting a notice in the application.
If you continue to use the service after the effective date of the updated Terms, you accept the changes. If you do not agree, you may cancel your account before the changes take effect.
